Senior Manager, Board Secretariat

The Senior Manager, Board Secretariat will serve to support the General Counsel in providing board secretariat support to the ARPC Board and ARPC Audit and Compliance Committee, and support the CEO and Senior Executives to develop and advance insurance market policy.

About you – qualifications, experience and criteria 

Qualifications: 

  • Tertiary qualification (mandatory)

Experience: 

  • Experience in a company secretary capacity/role and be a member of a relevant governance body such as Australian Institute of Company Directors, Governance Institute of Australia, or equivalent
  • Knowledge of insurance sector or financial services sector (desired)
  • Knowledge of highly regulated environments (mandatory)
  • Experience in economic and/or social policy development (mandatory)

Key accountabilities: 

  • Assist with the management of all board and committee communications to internal and external stakeholders. Consult and liaise with employees and board and committee members in relation to agenda items and papers
  • Develop the Board agenda in a timely and effective manner for review and approval by the Chief Executive and Chair
  • Manage board and committee documentation
  • Coordinate arrangements for board and committee workshops, seminars, conferences, meetings, teleconferences and videoconferences (including room bookings, ICT set up, catering etc)
  • Record and manage decisions and actions from board and committee meetings. This includes attending meetings and taking accurate minutes, distributing outcomes to relevant parties in a timely manner
  • Provide high level strategic research, analysis and guidance which: 
    • Supports and informs ARPC’s strategic thought leadership
    • Supports the development of strategic papers and presentations
    • May lead to insurance market policy development

Technical capabilities: 

  • Strong written and verbal communication skills 
  • Excellent analytical skills with the ability to derive simple insights from complex data
  • Excellent interpersonal skills with the ability to effectively negotiate and influence

 

 

General Manager, Governance and Compliance

The General Manager Governance and Compliance will serve to support ARPC through a meticulous and methodical approach to the provision of board secretariat, governance and compliance frameworks, and coordinate legal advice. . The General Manager Governance and Compliance plays an important leadership role within the organisation by providing a firm foundation upon which to support ARPC business operations.

The purpose of this role is to:

  • Provide Board Secretary support to the ARPC Board and Audit and Compliance Committee
  • Lead ARPC’s Governance and Compliance function and a variety of organisational strategic projects
  • Be the chief audit executive and oversight the outsourced internal audit program
  • AICD or GIA certification (desired)
  • Coordinate the provision of outsourced legal advice

About you – qualifications, experience and criteria 

Qualifications:

  • Tertiary qualification (mandatory)

Experience:

  • Experience working with a Board, and within regulated environments
  • Experience is desirable in either the insurance or reinsurance industry or the Government sector
  • Tertiary Qualification (mandatory)
  • AICD or GIA certification (desired)

Key accountabilities: 

  • Provide Board Secretary support to the ARPC Board and Audit and Compliance Committee
  • Support the establishment and ongoing development of ARPC’s Governance and Compliance framework
  • Oversee the Internal Audit function (which is outsourced) to ensure the integrity of ARPC’s operations
  • Engage with external legal services providers to facilitate ARPC receiving effective legal services
  • Lead a small team of professionals 

Technical capabilities:

  • Ability to think vertically and laterally to approach business issues from different angles
  • Meticulous attention to detail and adherence with legislative and regulatory requirements
  • Deep Governance and Compliance expertise coupled with energy and passion for the Governance, and Compliance profession
  • Strong written and verbal communication skills
  • Excellent analytical skills with the ability to derive simple insights from complex data
  • Excellent interpersonal skills with the ability to effectively negotiate and influence
